Opency provides an online platform that helps global founders form and manage US-based business entities. Our services include:

• EIN (Employer Identification Number) application assistance
• US business bank account setup guidance
• Ongoing compliance reminders and document management
• Business consulting and advisory services

Opency is not a law firm and does not provide legal advice. We are a document filing and business formation service.

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate
• Keep your password confidential and not share account access
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account

Certain services require payment of fees. By purchasing a service, you agree to pay all applicable fees. All fees are in US dollars unless otherwise stated.

• State filing fees are passed through at cost and are non-refundable once filed.
• Service fees are charged at the time of purchase.
• Annual registered agent fees renew automatically unless cancelled.
• We reserve the right to update our pricing with reasonable notice.

You may not use the Service to:

• Form a business for illegal, fraudulent, or deceptive purposes
• Violate any applicable local, state, national, or international law
• Impersonate any person or entity or misrepresent your affiliation

• Resell or sublicense our services without written permission

The Service and its original content, features, and functionality are owned by Opency and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our express written consent.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Opency shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability to you for any claims arising out of these terms shall not exceed the amount you paid to us in the 12 months preceding the claim.

We may suspend or terminate your account and access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service will immediately cease.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.
